These Terms of Service (the "Terms") govern the provision of professional software engineering services by LazaPlaza LLC, a limited liability company organized under the laws of the State of Delaware, United States, with its registered office at 8 The Green, Ste A, Dover, DE 19901, Reg. No. 10105884 ("LazaPlaza", "we", "us"). By engaging LazaPlaza or accepting a proposal or statement of work, the client ("Client", "you") agrees to these Terms, together with any signed engagement agreement, which prevails in case of conflict.
LazaPlaza provides managed engineering delivery, including technical support, defect resolution, feature development, integration, performance work, and maintenance for data-intensive web interfaces such as schedulers, Gantt diagrams, timelines, calendars, and data visualization components. LazaPlaza acts as an independent contractor and is not an employee, agent, or joint venturer of the Client. The manner and means of performing the services are determined by LazaPlaza.
Work is initiated through requests submitted by the Client with the information required for that request type, including a definition of done and any access needed. LazaPlaza qualifies and estimates each request. Delivery dates become binding only after LazaPlaza has provided an estimate and the Client has authorized the scope, effort, and any applicable cost ceiling. Individual pieces of work may be documented in a statement of work under a master framework agreement.
The Client is responsible for providing business context, priorities, acceptance criteria, timely decisions and approvals, access to systems and repositories, test data, and any third-party licenses required for the work. Delays attributable to the Client pause any applicable service timers.
LazaPlaza delivers work products (for example, a reviewed pull request) and notifies the Client that the work is ready for validation. The Client has one (1) week from that written notice to review and report deviations from the agreed acceptance criteria. If the Client does not respond within that window, the work is deemed accepted.
LazaPlaza warrants that delivered work will conform to the acceptance criteria agreed for the relevant request. For a period of thirty (30) days after acceptance, LazaPlaza will correct non-conformities at no additional charge. This warranty does not cover new scope, third-party changes, API or dependency changes, data changes, or issues outside the agreed criteria, which are treated as new billable requests. Except as expressly stated, the services are provided without other warranties to the maximum extent permitted by law.
Each party will keep confidential the non-public information it receives from the other and use it only to perform under these Terms. This obligation survives termination for three (3) years. It does not apply to information that is public, independently developed, or lawfully obtained without restriction.
LazaPlaza may delegate work to its own personnel and subcontractors at its discretion and remains fully responsible for the performance of anyone it engages.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits or revenue. LazaPlaza's total aggregate liability arising out of or relating to an engagement is limited to the fees paid by the Client for the services giving rise to the claim during the three (3) months preceding the event. Nothing limits liability that cannot be limited by law.
Either party may terminate an engagement on thirty (30) days' written notice. On termination without cause, the Client pays for all services performed up to the effective date. Sections concerning intellectual property, confidentiality, payment for work performed, and limitation of liability survive termination.
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the competent courts of that jurisdiction. Engagements contracted through LazaPlaza's Spanish autónomo arrangement may be subject to different governing terms as stated in the applicable agreement.
LazaPlaza may update these Terms from time to time. The version in force at the start of an engagement governs that engagement unless the parties agree otherwise in writing.

Subject to applicable law, you may access, correct, delete, or port your personal data, object to or restrict certain processing, and withdraw consent. EU/EEA and UK residents may lodge a complaint with their supervisory authority (in Spain, the Agencia Española de Protección de Datos). We use reasonable technical and organizational measures — including access controls and encryption in transit — to protect personal data. No method of transmission or storage is completely secure.
